I verify that my relationship with any financial entity is limited to an individual financial service professional (“FSP”). I affirm that I am attending this training for the sole purpose of enhancing my insurance and/or financial services practice. I affirm that I am not attending with the intent to disseminate, now or in the future, in part or in whole the sales ideas I will be exposed to. I affirm that I am not a news reporter, journalist or member of the media. I affirm that it is not my intention to draft or submit a news report, review, interview, or article pertaining to, in whole or in part, the sales ideas I will be exposed to at this training. Prior approval is required if you are planning on bringing a guest or associate. I acknowledge that during the classroom training, I may take notes; however, recording devices are prohibited. During the client seminar presentation, note taking, video recording and audio recording are strictly prohibited. I affirm that photo and video may be taken during the event by the staff of Gradient Financial Group, LLC and its affiliated member companies (“GFG”). I hereby consent to the use of any such photo or video containing my image or likeness for GFG’s own promotional or marketing needs. I agree to not solicit, directly or indirectly, any individual or entity that I meet at this training or at other GFG-sponsored events. All information provided to me by GFG shall be deemed “Confidential Information,” irrespective of whether or not such information has been identified by GFG as such. I affirm that I will receive or have access to confidential, proprietary, and/or non-public materials, information or software that is the exclusive property of GFG. I agree that I shall not disclose Confidential Information to any other person or entity (including any Broker-Dealer or Registered Investment Advisory Firm with whom I am affiliated) or permit any agent, employee, or affiliate to use or disclose the Confidential Information to any other person or entity. I agree that I will not use Confidential Information for any purpose other than for my relationship with GFG, and I agree that all Confidential Information will ONLY be used for insurance, securities, or advisory business written through GFG. I agree that all Confidential Information will immediately be returned upon the specific request of GFG. I agree that I am solely responsible for my own licensure and regulatory compliance. I agree that I will only use the Confidential Information in a manner that complies with the applicable federal, state, and local laws and regulations, and I agree to comply with all applicable federal, state, and local laws and regulations in all other manners. I acknowledge that GFG does not assume responsibility for or warrant the accuracy of any such Confidential Information, whether for compliance purposes or otherwise. I understand that although the Confidential Information may include general information on legal issues commonly encountered in the industry, I acknowledge that any such information provided by GFG is not legal advice and is being provided for self-help purposes only. I understand and acknowledge that the unauthorized use or disclosure of any Confidential Information will cause irreparable damage to GFG, and I acknowledge that GFG may seek and obtain injunctive relief against the breach – or threatened breach – of the disclosure of any Confidential Information by myself, my agent or my affiliates, in addition to any other legal remedies that may be available. I agree to attend the event associated with these terms and conditions. If I cancel my reservation and/or flight after confirmations have been made and flights have been booked, I acknowledge and agree that I may be responsible for any and all applicable charges and any and all additional change fees incurred as a result of my reservation and/or flight and the subsequent cancellation fees of my reservation and/or flight. I agree and acknowledge that GFG may charge my credit card in an amount equal to the costs and expenses incurred by GFG. I agree and acknowledge that GFG may charge my credit card in an amount never to exceed $3,500.00 per person, which shall include actual costs and expenses incurred by GFG (“Maximum Travel Expenses”). If a flight change or cancellation results in a flight credit being awarded, GFG agrees to give flight credit to ticketed passenger. In addition to the aforementioned Maximum Travel Expenses, I affirm that I shall be responsible for any and all damages that are a result of my actions or the actions of my guest(s), whether the damages are done to GFG or another third-party individual or entity. I acknowledge that any and all damages I am required to pay would be in addition to the Maximum Travel Expenses. GFG does not assume any responsibility for damage to or loss of property or personal articles left prior to, during, or following the GFG-sponsored event.

By selecting the “Submit” button, you are signing this Agreement electronically. You agree to your electronic signature as the legal equivalent of your manual signature on this Agreement. By selecting the “Submit” button you consent to be legally bound by this Agreement’s terms and conditions. You further agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action, constitutes your signature (hereafter referred to as "E-Signature"), acceptance and agreement as if actually signed by you in writing. You also agree that no certification authority or other third party verification is necessary to validate your E-Signature and that the lack of such certification or third party verification will not in any way affect the enforceability of your E-Signature or any resulting contract between you and GFG. You also represent that you are authorized to enter into this Agreement for all persons, including your guests, or entities named in this Agreement and that such persons or entities will be bound by the terms of this Agreement. By selecting the “Submit”, you affirm that your guests will strictly adhere to and be bound by the provisions as stated herein and that a breach of such provisions by your guest(s) shall amount to a breach of this agreement.

Consent to Electronic Delivery

You specifically agree to receive and/or obtain any and all GFG related "Electronic Communications" as defined herein. The term "Electronic Communications" includes, but is not limited to, any and all current and future notices, agreements, and/or disclosures that various federal and/or state laws or regulations require that we provide to you, as well as such other documents, statements, data, records and any other communications regarding your relationship with GFG. You acknowledge that, for your records, you are able to use email to retain Electronic Communications by printing and saving this Agreement and any other agreements and Electronic Communications, documents, or records that you agree to use your E-Signature to execute. You accept Electronic Communications provided via email as reasonable and proper notice, for the purpose of any and all laws, rules, and regulations, and agree that such electronic form fully satisfies any requirement that such communications be provided to you in writing or in a form that you may keep.

Paper version of Electronic Communications

You may request a paper version of an Electronic Communication including this agreement. You acknowledge that GFG reserves the right to charge you a reasonable fee for the production and mailing of paper versions of Electronic Communications. Revocation of Electronic Delivery

You have the right to withdraw your consent to Electronic Communications at any time. You acknowledge that GFG reserves the right to restrict or terminate your access to or participation in the services stated herein if you withdraw your consent to receive Electronic Communications. If you wish to withdraw your consent, contact us at info@gradientfg.com. Please note that you shall be bound to the provisions as stated in your prior executed electronically signed agreements with GFG. Revocation or withdrawal of your use of an electronic signature shall not alter, void or affect the enforceability of your prior executed agreements.

Valid and Current Email Address, Notification and Updates

Your current, valid email address is required in order for you to obtain access to the services stated herein. You agree to keep GFG informed of any changes in your email address. You may modify your email address by submitting a written request to info@gradientfg.com. GFG may notify you through email when an Electronic Communication or updated agreement pertaining to the services or event. It is your responsibility to use your email regularly to check for Electronic Communications and to check for updates to this Agreement.

Controlling Agreement

This Agreement may supplement and/or modify other agreements that you may have with GFG as it relates to electronic signatures. To the extent that this Agreement and another agreement contain conflicting provisions, the provisions in this agreement will control (with the exception of provisions in another agreement for an electronic service). All other obligations of the parties remain subject to the terms and conditions of any other agreement.
